TERMS OF SERVICE

Last updated: this is a working draft, not yet reviewed by a lawyer.

1. What Mana Pass is

Mana Pass is a ticketing platform. Organizations ("Organizers") create events, set ticket prices, and approve promoters to sell tickets through unique links. Buyers purchase tickets through those links or directly from an Organizer's page. We process payments and issue tickets on the Organizer's behalf; we do not run, produce, or take responsibility for the events themselves.

2. Organizer responsibilities

Organizers are solely responsible for their events: the accuracy of event details, delivering the event as described, and complying with all laws that apply to running it — including venue, safety, licensing, and permit requirements.

Taxes: Organizers are solely responsible for determining whether any sales, amusement, or other tax applies to their ticket sales, and for collecting and remitting any such tax. Mana Pass does not calculate, collect, or remit tax on ticket sales. Organizers should account for any tax obligation when setting their ticket price. Mana Pass is responsible only for tax on its own platform fee revenue.

3. Platform fee

Buyers are charged a platform fee (currently 0%) on top of the ticket price the Organizer sets. The Organizer receives the full ticket price; the fee is Mana Pass's revenue for operating the platform.

4. Payments and payouts

Payments are processed by Stripe. Organizers must complete Stripe's account setup before they can sell tickets. An Organizer's share of ticket sales is held by Mana Pass and released to the Organizer's own Stripe account at Mana Pass's discretion, typically after the event has taken place. This delay exists to protect buyers and Organizers against fraudulent or cancelled events.

5. Refunds

Organizers can issue refunds to buyers directly from their dashboard, at any time, regardless of whether their payout for that order has already been released. Refund policies for a specific event (e.g. whether tickets are refundable at all) are set by the Organizer, not Mana Pass.

6. Promoters and commissions

Organizers may approve promoters to sell tickets through unique links and set a commission percentage for them. Commission amounts are tracked by Mana Pass for the Organizer's reference; paying promoters their commission is an arrangement between the Organizer and the promoter, handled outside the platform.

7. Buyer conduct

Tickets are issued as unique QR codes and are not transferable except as an Organizer's event may permit. A ticket can only be used for entry once. Buyers are responsible for keeping their ticket confidential; Mana Pass is not responsible for tickets lost, shared, or used by someone else.

8. Limitation of liability

Mana Pass provides the platform "as is." We are not liable for an Organizer's failure to hold an event as described, for losses arising from an event's cancellation, or for disputes between an Organizer, a promoter, and a buyer. Our role is limited to processing payment and issuing tickets.

9. Changes to these terms

We may update these terms as the platform changes. Continued use of Mana Pass after an update means you accept the revised terms.
